Law on public-private partnership investment No. 64/2020/QH14 promulgated by the National Assembly on 18 June 2020 (“PPP Law”) takes effect from 1 January 2021. Decree 35/2021/ND-CP issued by the Government on 29 March 2021 detailing and guiding the implementation of the PPP Law (“Decree 35”) takes effect from 29 March 2021. Circular 09/2021/TT-BKHDT issued by the Ministry of Planning and Investment on 16 November 2021 (“Circular 09”) takes effect from 1 January 1 2022 guiding investor selection for PPP projects and investment projects using land.
Prepare bidding documents is specified in Circular 09 with the following key takeaways:
Projects apply pre-qualification. Bidding documents for projects applying pre-qualification are prepared according to the form specified in Appendix III issued with Circular 09.
Projects do not apply prequalification and projects apply competitive negotiation inviting only 3 investors. Bidding documents are prepared according to the form specified in Appendix IV issued with Circular 09.
Projects on the application of high and new technology applying the competitive negotiation. Bidding documents are prepared according to the form specified in Appendix V issued with Circular 09.
Projects apply the investor appointment. Bidding documents are prepared based on the modification of the content of the application form specified in Appendix IV issued with Circular 09, in compatible with the PPP Law, Decree 35 and relevant legislation. Bidding documents shall not include the content of investor comparison and ranking.

Clarification of bidding documents (Section 5.1, Chapter I. Instruction to Investors of Appendices IV and V, Circular 09). Investors must send a written request for clarification to the bid solicitor or through the system of the bid solicitor at least 07 working days (for selection of domestic investors) and 15 days (for selection of international investors) before the bid closing date.
Amendment of bidding documents (Section 7.1, Chapter I. Instruction to Investors of Appendices IV and V, Circular 09). The amendment of bidding documents shall be before the time of bid closing through posting documents amending the bidding dossiers on the system of the bid solicitor.
